Statement of Work

This project involves the design and development of a website commissioned by the Trustee and Secretary for and on behalf of All Saints and St Mary's Charity. The new website will be built on a chosen domain of choice. The project will follow the scope and timeline outlined below.

Timescale: Completion before:  7th April 2023 subject to responsive client communication.

Project Scope:
=========
This Website Development covers the following activities and deliverables:

> WEBSITE PLATFORM: Your website will be built on a WordPress platform
> WEBSITE DESIGN & DEVELOPMENT: We will design and develop a modern, fully responsive website.
> CONTENT: We will either implement your existing website content into your new site or implement content supplied to us. If content is supplied, it must be supplied all at once prior to build. Once we start the build, no further content can be supplied. In addition to the images supplied/obtained from your website, we may implement additional placeholder images at our discretion which you can substitute after hand over.
> BRAND DESIGN: We will use any brand material supplied such as logos/colours, or will obtain this from your existing website unless otherwise directed.
> PAGES: Your website includes unlimited pages, and we will implement all existing pages from your old site into the new site as per the number stated in the package purchased or an agreed number of pages. If additional pages need to be added to the scope as the project progresses, we can accommodate that with an addendum and additional fee.
> FEATURES: The features of the site will include a lifetime SSL security certificate, GDPR compliant contact form(s), image gallery, the ability to upload documents for visitors to download, a facility to display news and events and anti-spam contact forms.
> BROWSER TESTING: We will test the site to make sure it looks good on the latest browsers for desktop, tablet, and mobile devices.

Hosting & Emails:
=========
We will provide fast, reliable UK hosting for your website and large capacity email accounts which you can self-manage and access through your computer, phone and via webmail including forwarders and auto-responders. The number of email accounts is determined by the package you have purchased. You will be provided with email support to help setup email accounts and any queries relating to emails.

Timeline:
=========
We will complete the website on or before the date as specified above depending on responsiveness and communication from the Client.
We will provide you with a preview of the completed site for up to 2 rounds of revisions and one further final feedback round via telephone. A “feedback round” can include multiple items in a single bullet-pointed email. We will then make final tweaks and conclude the Website in its entirety. Any further design or content revisions required beyond this point will be at Our discretion and may incur additional charges for our time, however, this is unlikely having been through various rounds of feedback and tweaks. You are also able to easily edit the content as you please through the Content Management System after hand over.
Once approved and ready to go live, we prepare for hand over where the monthly or yearly hosting direct debit is completed. The website is then launched where you will receive login information to access user guides and make ongoing changes to your website.

Investment:
=========
You can select from two packages:

SETUP & DESIGN, HOSTING & EMAIL SUPPORT:
> PACKAGE 1: £800+vat setup/design + Hosting & Support: £199+vat yearly after completion (yearly amount can be paid monthly by direct debit if desired)
> PACKAGE 2: £1,275+vat setup/design + Hosting & Support: £299+vat yearly after completion (yearly amount can be paid monthly by direct debit if desired)

OPTIONAL EXTRAS:
> Quarterly WCAG compliance reports: £299+VAT
> Extended annual support: £299+VAT (smaller councils) / £695+VAT (larger councils).
> Additional Domain Name: .co.uk domain: £10+vat per year or .com: £12.50+vat per year
> SEO plans are available upon request

We will always do our best to fulfil your needs and meet your goals, but sometimes it’s best to have a few things written down. In this contract you won’t find complicated legal terms or long passages of unreadable text.

You are hiring Us to design and develop a website for the total investment as outlined in this proposal, and as per the below.

What Do Both Parties Agree To Do?
========
As our customer, you have the power and ability to enter into this contract on behalf of yourself, your company or organization. You agree to provide us with everything that we need to complete the project – including text, images and other information – as and when we need it and in the format we ask for. You agree to review our work, provide feedback and approval in a timely manner. Deadlines work both ways and you’ll also be bound by any dates that we set together. If there are significant delays in providing deliverables to us or responding to our queries in a reasonable timeframe, a project re-activation fee may be applied each time the project is severely delayed.

We have the experience and ability to perform the services you need from us and we will carry them out in a professional and timely manner. Along the way we will endeavour to meet all the deadlines set, but we can’t be responsible for a missed launch date or a deadline if you have been late in supplying materials or have not approved or signed off our work on-time at any stage. On top of this we’ll also maintain the confidentiality of any information that you give us.

SPECIFICS:

Design
========
Since we are creating your website, we’ll create designs for the look-and-feel, layout and functionality of your website. This contract includes one main design plus the opportunity for you to make up to two rounds of revisions on the website plus final round of revisions. If you’re not happy with the designs at this stage, you will pay us in full for all the work that we have produced until that point and you may either cancel this contract or continue to commission us to make further design revisions at our standard design rates.

HTML and CSS Layout Templates
========
If the project includes HTML markup and CSS templates, we’ll develop these using valid HTML and CSS code. The landscape of web browsers and devices changes regularly and our approach is to look forward, not back. With that in mind we will test all our markup and CSS in current versions of all major desktop browsers to ensure that we make the most from them. Users of older or less capable browsers or devices will experience a design that is appropriate to the capabilities of their software. We will also test that the website performs well on Apple’s iPad. We will not test old or abandoned browsers as we cannot predict their behavior, for example Microsoft Internet Explorer 6 or 5.5 for Windows or Mac, previous versions of Apple’s Safari, Mozilla Firefox or Opera unless otherwise specified. If you need us to consider these older browsers, we will charge you at our standard old browser rate for any necessary additional design work, development and testing.

Text Content

We are not responsible for writing any text copy or marketing messages on the website. We’ll be happy to help if required as we can facilitate copywriting services at an additional cost.

Photographs
========
You will supply us with photographs in digital format and/or we can obtain existing photographs from your existing website if required. If you require access to stock photography, we can suggest a few good free and paid stock library resources.

Changes and Revisions
========
We know from plenty of experience that fixed-price contracts are rarely beneficial to you, as they often limit you to your first idea about how something should look, or how it might work. We don’t want to limit either your options or your opportunities to change your mind. The estimate/quotation prices at the beginning of this document are based on the amount of work we estimate we’ll need to accomplish everything that you have told us you want to achieve. If you do want to change your mind, add extra pages or even add new functionality, that won’t be a problem. However, you will be charged accordingly and these additional costs will need to be agreed to before the extra work commences. This additional work will affect deadlines and they will be moved accordingly. We’ll be up front about all of this if and when it happens to make sure we’re all on the same page before proceeding. We may also ask you to put requests in writing so we can keep track of changes.

Website Updates, Access and Management
========
You can easily make updates to the website through the Content Management System we provide. You will gain “Editor” level access to manage the Website through the Content Management System. For the protection of the website, our software licences and our ability to carry out our fully managed service in maintaining your website, “Admin” level access and FTP access is strictly forbidden. Our philosophy is to empower clients to carry out any and all updates to their website through the CMS, however if you prefer we make updates to the website, this can be carried out within the time allocation in your Care Plan, or alternatively, we can quote on a per requirement basis.

GDPR Compliance and EU Cookie Law

The General Data Protection Regulation (GDPR) is a legal framework that sets guidelines for the collection and processing of personal information from individuals who live in the European Union (EU) and came into effect on 25th May 2018. The Cookie Law is a piece of privacy legislation that requires websites to get consent from visitors to store or retrieve any information on a computer, smartphone or tablet and came into effect in May 2011. While we do our best to comply with these by implementing GDPR compliant contact forms and an automatic cookie popup in your website, we cannot guarantee a 100% compliant website and are not liable for any damages brought against you by 3rd parties regarding the GDPR or EU cookie compliance of the website. Legal stuff

We can’t guarantee that the functions contained in the website will always be error-free or always meet accessibility guidelines as content can change at any time, so we can’t be liable to you or any third party for damages, including lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate this website and any other web pages, even if you have advised us of the possibilities of such damages. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

Copyrights
========
You guarantee to us that any elements of text, graphics, photos, designs, trademarks, or other artwork that you provide us for inclusion in the website are either owned by your good self, or that you have permission to use them. You own the content that you supply and implement into the website (text content, photographs and other data) unless someone else owns them. We own the copyrights to the technical constructs of the website (markup, CSS and other code which we will license to you for use in this project), and any designs/themes that may result from the creation of the website.  For any brand elements/graphics we create, we will give you a copy of all files and you should store them safely as we are not required to keep them or provide any native source files we used to make them.

Our Credit Link and Portfolio Inclusion
We will place our credit link in the footer of your website which will link back to our website and cannot be removed as part of this agreement. We reserve the right to display and link to your completed project as part of our portfolio and to write about the project on websites, courses, in magazine articles and in books about web design.

Payments
========
Payments are required prior to work commencing.

Assignment
========
Just like a parking ticket, you can’t transfer this contract to anyone else without our permission. This contract stays in place and need not be renewed. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place.

Termination
========
The website will be hosted solely on our platform, and cannot be migrated as a whole onto a 3rd party host to protect our software licences. If either Party fails to follow through with their responsibilities or obligations under this Agreement, the other Party can end this Agreement by giving a ten (10) day written notice. Payments for services we have completed up to that point will be retained. This Agreement will automatically terminate when both Parties have performed all of their obligations under the Agreement and all payments have been made.

Legal and Binding Agreement
========
Although the language is simple, the intentions are serious, and this contract is a legal document governed by the prevailing laws of England, United Kingdom. Should any conflicts arise related to this agreement, the Parties agree to work towards a resolution through good faith negotiation. If talking it over doesn’t go well, the Parties agree to seek a suitable resolution through a neutral arbitrator, whose ruling shall be considered final and binding on both parties.

Authorizing this project requires a signature in the following step.
